A California Nondisclosure Agreement (NDA) is a legally binding contract used to protect sensitive, proprietary or confidential information exchanged between two parties during a business relationship. This type of agreement ensures that the Receiving Party does not disclose or misuse the Disclosing Party's confidential information. California NDAs must comply with the California Uniform Trade Secrets Act (CUTSA) and Section 16600 of the California Business and Professions Code, which prohibits overly broad restrictions on lawful business activities.
