Investor Rights Agreement Template

The Investor Rights Agreement establishes the rights, protections and obligations of investors after acquiring equity in a company. It covers information rights, preemptive rights, registration rights, transfer restrictions and governance provisions that safeguard investor interests while maintaining company stability. This version includes a selectable clause defining “Shares” as either common or preferred stock, allowing users to customize the agreement according to the structure of their investment.

This agreement is completed by both the company and its investors. Each party provides identifying details, share information and relevant terms, including the selection of whether the shares are common or preferred as indicated in Section 2(b) of the document.

Once signed, the completed agreement is retained by both the company and the investors as part of their official corporate and investment records. It does not need to be filed with a regulator unless specifically required under securities law.
