Purpose and legal effect of a commercial sales agreement
A Commercial Sales Agreement is a legally binding contract that sets out the terms on which one party (the Seller) agrees to sell and the other party (the Buyer) agrees to purchase specified goods. The agreement governs the pricing, delivery, risk, title, warranties, and payment obligations, while also allocating liability and clarifying remedies for breach.
This template has been designed to:
- Define the scope and specifications of goods being sold, including quality standards, quantities, delivery terms, and packaging requirements;
- Establish pricing, invoicing, and payment terms, including late payment consequences;
- Allocate responsibility for delivery, risk, and title transfer, and integrate appropriate INCOTERMS where applicable;
- Incorporate relevant warranties, disclaimers, and limitations of liability;
- Provide a clear framework for dispute resolution, termination, and indemnity provisions to reduce risk exposure and ensure enforceability.
- Use of a formal Commercial Sales Agreement is essential for managing supply chain risks, protecting commercial interests, and ensuring clarity and certainty in trading relationships.

Customisation and adaptation
This template is a generalised commercial sales agreement and must be adapted to reflect the specific nature of the goods, industry standards, and commercial practices of the parties. Particular care must be taken to define product specifications, delivery schedules, and agreed tolerances for quality or quantity variations.
Legal and regulatory considerations
Users should ensure the agreement complies with all applicable legislation, including but not limited to:
- The Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) in relation to implied warranties, misleading conduct, and unfair contract terms;
- The Sale of Goods Act (in relevant states and territories), where applicable; and
- Any specific industry standards, safety regulations, or export/import controls (if cross-border sales are contemplated).
- For contracts involving international transactions, the United Nations Convention on Contracts for the International Sale of Goods (CISG) may apply, unless expressly excluded.
Supplementary notes
- The Schedule should record transaction-specific information including product types, unit pricing, delivery addresses, currency, lead times, and insurance obligations.
- Ensure all annexures (e.g. product specifications, quality standards, or service level agreements) are clearly referenced and attached.
- Parties should retain a signed and dated version of the final agreement and ensure appropriate internal authorisations are obtained.
