Purpose and legal effect of an independent contractor agreement

An Independent Contractor Agreement is a legally binding contract that governs the commercial relationship between a principal and a contractor. It defines the scope of services to be performed, payment terms, intellectual property arrangements, confidentiality obligations, and the allocation of liability. Importantly, it distinguishes the relationship from that of employer and employee.


This template has been designed to:

  • Clearly define the scope of services, deliverables, timeframes, and service standards;
  • Establish fee structures, invoicing requirements, and applicable tax responsibilities (e.g. GST, ABN obligations);
  • Affirm the contractor’s independence, including responsibility for insurance, superannuation, and withholding obligations;
  • Allocate risk and liability through appropriate indemnities, warranties, and insurances;
  • Protect confidential information and intellectual property created or accessed during the engagement.

Execution of this agreement is critical to evidencing the non-employment nature of the relationship, mitigating misclassification risks, and safeguarding commercial interests.

Customisation and adaptation

This template must be adapted to suit the specific engagement. Key elements to tailor include:

  • The defined “Services” and expected outcomes or deliverables;
  • The term and renewal options of the agreement;
  • Payment terms (e.g. fixed fee, hourly rate, milestones); and
  • Any industry-specific compliance obligations (e.g. licences, professional registrations).

Legal and compliance considerations

The principal must ensure that the arrangement does not give rise to an employment relationship in substance, notwithstanding the label used. Relevant considerations include control, integration, financial risk, equipment use, and independence.


Legal advice should be obtained (e.g. from Maguire Legal at [email protected]) where:

  • The services are ongoing or full-time in nature;
  • There is ambiguity about the contractor’s status or tax/superannuation obligations;
  • IP is created or licensed during the engagement; or
  • Work is performed in regulated sectors (e.g. health, finance, building and construction).

Supplementary notes

  • Confirm the contractor’s ABN and insurance cover prior to engagement.
  • Use the Schedule to document key particulars including services, rates, payment milestones, and client equipment access.
  • Retain a signed and dated copy of the agreement for compliance and audit purposes.
